Terms and Conditions of Use

• “Service” means the Morta software platform, website, applications, and services.
• “Customer Data” means all data, documents, files, and information you upload, submit, or store through the Service.
• “You” or “User” means the individual or entity accessing the Service.
• “Athena”, “we”, “us”, or “our” refers to Athena Business Consulting LLC.

• You confirm you have authority to bind your organization and are accessing the Service for lawful, business or professional use.

3.1 License Grant

• We grant you a non-exclusive, non-transferable license to use the Service for your internal business purposes.

3.2 Restrictions

• You shall not copy, modify, reverse engineer, resell, or misuse the Service.

3.3 Feature Changes

• Morta may add, modify, suspend, or remove features at its sole discretion without notice or liability.

• You are responsible for maintaining the confidentiality of your account and passwords, and for all activity under your account.

5.1 Subscription Fees

• Fees are due as agreed and are non-refundable.

5.2 Price Changes

• We may change fees at any time, with 30 days’ notice for material increases where legally required.

5.3 Late and Missed Payments

• Overdue payments incur 1.5% monthly interest or max legal rate.
• Discounts or promotional pricing will be revoked retroactively if payments are late.
• Access may be suspended until full payment plus fees are made.
• A reactivation fee may apply.
• Overdue accounts may be referred to collections, and you’ll cover all collection costs.
• If payment remains overdue for more than 30 days, we may permanently delete your account and all associated data, files, and documents without further notice or liability.

5.4 No Set-Off

• You may not withhold payments for any reason.

6.1 Term

• The Agreement continues until terminated by either party.

6.2 Termination for Cause

• We may terminate or suspend access for breach, including non-payment.

6.3 Data Retention and Deletion

• Upon termination or suspension, your access stops. We may retain your data for up to 30 days, after which all data may be irreversibly deleted. You are responsible for exporting or backing up your data before termination or suspension.

6.4 Non-Payment

• Extended non-payment may lead to immediate suspension and deletion of all Customer Data without liability.

• All Morta intellectual property remains ours. You grant us a limited license to use your data to provide the Service.

• You agree to keep Morta’s confidential information private for three years after termination.

• We implement reasonable measures to protect your data but disclaim liability for breaches beyond our control.

10.1 Service Provided “As Is”

• We make no warranties and disclaim all implied warranties.

10.2 No Guarantee of Availability

• The Service is evolving technology and may suffer outages or disruptions.

10.3 Limitation of Liability

• We are not liable for any direct or indirect damages arising from use of the Service.

10.4 No Responsibility for Data Loss

• You accept all risk of data loss or corruption and are responsible for backups.

• Our total liability is capped at the amount paid in the prior 12 months. We exclude liability for indirect damages.

• You indemnify Morta against claims arising from your misuse of the Service.

• We may update these Terms at any time, notifying you where appropriate. Continued use means acceptance.

• These Terms are governed by the laws of the United Arab Emirates, specifically SHAMS jurisdiction. All disputes shall be resolved exclusively in SHAMS courts.

• Entire agreement, waiver, assignment, and force majeure provisions apply as usual.

• You grant us a royalty-free right to use your name, logo, brand, and project information in marketing and promotional materials unless you object in writing.

• You agree not to make or publish any negative or disparaging statements about Morta, its software, brand, Athena Business Consulting LLC, or affiliates, in any public forum or medium, now or after termination. Violations may result in suspension, termination, content removal, or legal action.
